On December 19, 2008, the Supreme Court of Canada handed down the reasoning for its June 20,2008 judgment approving BCE’s proposed transaction with a group of purchasers. The judgment provided a clear statement of the principles applicable to two fundamental corporate law mechanisms and reiterated the duties incumbent on company directors.
